Business-to-business only

IgelkottPlates sells exclusively to businesses, sole traders, and other commercial buyers acting within their trade, business, craft, or profession. We do not sell to consumers. By placing an order you represent and warrant that you act in a commercial capacity (or on behalf of a business that has authorised you to do so) and that this purchase is for business use. If a purchase is nonetheless made by a consumer, that buyer's non-waivable statutory rights under applicable EU consumer law are not affected.

1. Definitions

Plates — the digital 360° video footage products sold via igelkottplates.com.
Licensee — the person or organisation purchasing a license.
Project — the specific film, television series, commercial, or broadcast production for which a Plate is licensed.
License — the rights granted under these Terms.

2. Acceptance

Copyright in the Plates remains with Igelkott Film AB, holder of the registered trademark Igelkott Studios® (Swedish reg. no. 545539, class 41); the Licensee purchases a license to use them as set out below. By checking "I have read and agreed to IgelkottPlates' terms" at checkout, or by paying the invoice, the Licensee accepts these Terms. The license to use a Plate commences when payment has been received in cleared funds and the download link has been issued.

3. Grant of license

The Licensee receives a non-exclusive, worldwide, perpetual license to use the purchased Plate(s) within the named Project, with no geographic or time limitations. The License covers all media formats and distribution channels — theatrical, streaming, broadcast, physical media, web, advertising — including all versions, cuts, and edits of the Project.

Promotional materials directly tied to the Project — trailers, social-media posts, press kits, EPK content — are included.

For a television series, the License covers the entire season in which the Plate first appears. Re-use in subsequent seasons of the same series requires a new license per season. For reuse in a different Project, a new license is required; contact sales@igelkottplates.com.

4. Permitted use within the Project

• Inclusion in the final cut of the licensed Project
• Editing, color-grading, speed-ramping, lens-distortion, compositing, and other creative modifications
• Combining the Plate with other footage, CGI, plates, or graphic elements
• Extraction of frames, stills, clean plates, and color-graded derivatives for use within the Project
• Marketing materials directly promoting the licensed Project

5. Sublicensing to production vendors

The Licensee may make the Plates available to named third-party VFX vendors, post-production houses, colorists, and other contractors solely to complete the licensed Project. Such access is permitted without separate sublicense fees, provided the vendor uses the Plates only for that Project and returns or destroys all copies on Project delivery. Any other distribution constitutes unauthorised use under section 12.

6. AI / machine-learning use — expressly prohibited

The Plates may not be used — in whole or in part, including extracted frames, stills, transcoded derivatives, embeddings, latent representations, or stylistic extracts — for the training, fine-tuning, evaluation, validation, benchmarking, or development of any artificial-intelligence model, generative model, machine-learning system, dataset, or model weights. This prohibition extends to outputs derived from such use.

This clause is a contractual prohibition and is in addition to Igelkott Film AB's reservation of rights for text and data mining under Article 4(3) of Directive (EU) 2019/790 (the DSM Directive), made in machine-readable form via /robots.txt directives, HTML meta tags, and HTTP response headers on igelkottplates.com. See our AI / TDM Policy for the full reservation. Custom-model training rights may be licensed separately on written agreement.

7. Exclusive use

Plates are licensed non-exclusively by default. Exclusive use — removing a Plate from public sale for a defined period for a signature production — can be arranged by written agreement. Contact sales@igelkottplates.com to discuss scope and pricing.

8. Prohibited use

• Resale, redistribution, or sublicensing of the Plates outside the licensed Project (sublicensing to production vendors under section 5 excepted)
• Use in productions other than the named Project
• Standalone stock-photo or stock-footage licensing of Plate-derived imagery
• Distribution of unmodified Plates to third parties
• AI / machine-learning use as defined in section 6
• Use of the Igelkott Studios® trademark, logo, or brand-imagery without prior written consent
• Continued use of the Plates after license termination (section 12)

9. Pricing, VAT, and payment

Prices are shown in the visitor's local currency where Shopify Markets supports it. You are invoiced and pay in the currency displayed at checkout. Where currency conversion applies, the exchange rate is fixed at the time the order is placed and is not adjusted afterwards.

VAT and tax treatment:

• Buyers established in Sweden: Swedish VAT at the prevailing rate is added at checkout.
• EU business buyers established outside Sweden with a VAT identification number validated via VIES: the reverse-charge mechanism under Article 196 of Council Directive 2006/112/EC applies; no Swedish VAT is charged, and you account for VAT in your own Member State.
• Buyers established outside the EU: no Swedish VAT is charged. You are responsible for any local sales tax, GST, consumption tax, withholding tax, import duty, or similar levies that may arise in your jurisdiction; we do not collect or remit such amounts on your behalf.

Payment is required in advance. Plates are delivered as digital download links only after payment has been received in cleared funds; no credit terms are extended and we do not invoice on net payment terms. Any withholding taxes deducted by the Licensee at source remain the Licensee's responsibility. Prices may change without notice; confirmed orders retain the agreed price.

10. Delivery, acceptance, and replacement

Plates are delivered as digital download files in the format and resolution specified at the time of purchase. The Licensee should verify delivery integrity within 30 days.

Although digital media cannot be refunded, verified delivery defects are replaced at no additional cost. This covers corrupt or truncated files, incorrect color-space metadata, missing HLG / ACEScct tags, and wrong-variant delivery. Report defects within 30 days to sales@igelkottplates.com with the relevant pipeline logs; replacement delivery is provided within five business days. See the Refund Policy for full terms.

11. No warranty — provided "as is"

The Plates are provided "as is" without warranty of any kind, express or implied, including fitness for a particular purpose, merchantability, or non-infringement. The replacement right in section 10 is the Licensee's exclusive remedy for delivery defects.

12. Termination and liquidated damages

The License terminates immediately on any material breach of these Terms. Unauthorised use of the Plates — including resale, AI/ML training use, use outside the licensed Project, or misuse of the Igelkott Studios® trademark — triggers liquidated damages of no less than five (5) times the original license fee per occurrence, in addition to Igelkott Film AB's actual damages and reasonable legal costs. Liquidated damages do not preclude additional remedies under copyright or trademark law.

13. Transfer of license

The License is transferable solely in connection with the sale or transfer of the entire licensed Project (or the production company holding it) to another entity. The transferred License applies only to the Plate as used in the original licensed Project; new productions remain subject to a new license.

14. Cancellation

B2B orders are non-cancellable once payment has cleared and the download link has been issued. The Swedish Distance Contracts Act (Lag 2005:59 om distansavtal och avtal utanför affärslokaler) — which provides consumers with a 14-day right of withdrawal — does not apply to B2B transactions; as a business buyer you have no statutory right of withdrawal. Always download and review the free demo before purchase. Accidental duplicate purchases are reviewed case-by-case.

16. Governing law and disputes

These Terms are governed by Swedish law. Disputes are resolved by Stockholm tingsrätt as court of first instance. Consumer-rights for EU natural-person purchases are not affected.
